1. Agreement Overview

These Terms and Conditions (“Agreement”) govern all transactions between European Tyre Distributor (“Seller,” “we,” “us”) and the purchasing party (“Buyer,” “you”) for the wholesale purchase of used tires. By placing an order, you acknowledge that you have read, understood, and agree to be bound by these terms.

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to this subject matter.

2. Products & Specifications

2.1 Product Description: All tires sold are used, previously mounted tires sourced from European markets. Tires are graded and sorted according to tread depth, condition, and size.

2.2 Tread Depth: Tread depth measurements are approximate and represent the average remaining tread. Individual tires may vary within the specified range. We measure tread depth at multiple points across the tire’s surface.

2.3 Brand & Size Mix: Unless otherwise specified, shipments will contain a mix of brands and sizes based on current inventory. Specific brand or size requests will be accommodated subject to availability and may affect pricing.

2.4 Age of Tires: We typically do not export tires older than 6 years from the date of manufacture (DOT code). Tire age is not guaranteed unless specifically agreed upon in writing.

3. Ordering & Payment

3.1 Order Process: Orders are placed via email, WhatsApp, or our online quote request form. An order is confirmed only after we issue a Proforma Invoice and receive the required deposit.

3.2 Payment Terms: Standard payment terms are 50% deposit upon order confirmation and 50% balance before container loading. Different terms may apply for established customers.

3.3 Accepted Payment Methods: Direct Orders placed online are paid 100% at checkout by credit or debit card (Visa, Mastercard, American Express), secured by 3-D Secure. For custom quotes and large container orders we also accept bank wire transfers (SWIFT / SEPA) and letters of credit (L/C). All payments must be in EUR or USD.

3.4 Quote Validity: Quoted prices are valid for 7 days from the quote date. Prices are subject to change based on market conditions, currency fluctuations, and shipping rate changes.

4. Shipping & Delivery

4.1 Shipping Terms: Standard shipping terms are FOB Strijen, Netherlands or CIF to the destination port. All shipments are made using 40ft High Cube (HQ) containers unless otherwise specified.

4.2 Delivery Timeline: Estimated transit times are provided for reference only. We are not responsible for delays caused by shipping lines, port congestion, customs, or force majeure events.

4.3 Risk Transfer: For FOB shipments, risk transfers to the Buyer once goods are loaded onto the vessel. For CIF shipments, risk transfers when goods cross the ship’s rail at the port of loading.

4.4 Insurance: CIF orders include basic marine insurance. Additional coverage can be arranged at the Buyer’s request and cost. FOB buyers are responsible for arranging their own insurance.

5. Inspection & Claims

5.1 Pre-Shipment Inspection: Buyers are encouraged to inspect goods in person or appoint a third-party inspector before shipment. We provide photos and videos of the loading process upon request.

5.2 Claims Period: Any claims regarding quantity, condition, or quality must be made within 7 days of receiving the goods. Claims must be accompanied by photographs and a detailed description of the issue.

5.3 Claim Resolution: Valid claims may be resolved through credit toward future orders, replacement tires in subsequent shipments, or partial refunds at our discretion. We do not accept returns of used tire shipments.

6. Warranty & Liability

6.1 No Warranty: Used tires are sold “as is” with no express or implied warranty of fitness for a particular purpose. We warrant only that tires meet the specifications stated in the order confirmation.

6.2 Limitation of Liability: Our liability is limited to the invoice value of the goods in question. We are not liable for any consequential, indirect, or special damages arising from the use or resale of our products.

6.3 Buyer Responsibility: The Buyer is responsible for ensuring products comply with local regulations in the destination country and for obtaining all necessary import permits and licenses.

7. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to: natural disasters, war, terrorism, strikes, government actions, pandemic, or failure of third-party suppliers or carriers. In such events, the affected party shall notify the other promptly and use reasonable efforts to mitigate the impact.

8. Governing Law & Disputes

8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Netherlands.

8.2 Dispute Resolution: Any disputes arising from this Agreement shall be submitted to the competent courts of Netherlands.
